PURPOSE:
At Din Raat News 24, every team member is expected to uphold the highest ethical principles while conducting the company’s operations. The aim of this code is to ensure that all associates act with integrity, comply with applicable laws, and avoid decisions influenced by personal gain or advantage.

Below is a summary of our guidelines regarding (1) gifts, entertainment, and payments given or received, (2) potential conflicts of interest, and (3) other relevant matters:

GENERAL POLICY OVERVIEW:

Gifts, Entertainment, and Payments Made by the Company:
The company may provide gifts, favors, or entertainment expenses if they meet the following criteria:

  1. They align with commonly accepted business practices.
  2. Their value is minimal and cannot be mistaken as a bribe or inappropriate payoff.
  3. They do not breach any applicable laws or ethical standards.
  4. Disclosure of such actions publicly would not harm the company’s reputation.

Any form of commissions, compensation, or payments to associates of customers or their family members, outside of written agreements, is strictly against company policy.

Gifts, Entertainment, and Payments Received by Associates:

  1. Associates must not request or accept gifts, entertainment, payments, or personal loans (except legitimate loans from financial institutions at standard rates) from individuals or businesses that work with, intend to work with, or compete with the company.

    Acceptable exceptions include:

    • Standard courtesies like meals with vendors, occasionally including spouses, if initiated by the vendor.
    • Small-value promotional items such as pens, calendars, or notepads.
    • Event tickets (sports, arts, etc.) where the vendor attends with the associate. Such invitations must be approved by a company officer and must not be solicited.
    • Overnight trips where other company or vendor representatives are present, with prior approval from a company officer.
    • Holiday-related gifts like perishable food items (e.g., cookies, nuts, hams).

    Strict Guidelines:

    • Day trips for recreational activities like golf, fishing, or hunting require prior approval, and family participation is not allowed.
    • Use of vendor facilities (e.g., vacation homes) for personal purposes is prohibited unless the vendor is present, the visit is infrequent (e.g., once a year for a weekend), and it has prior approval.
    • Cash or cash-equivalent gifts, such as stocks or securities, are strictly prohibited.
  2. Supervisors must not accept gifts of significant value from subordinates.

Associates must avoid situations where personal interests may conflict with those of Din Raat News 24. Employees are expected to act in the company’s best interests when interacting with customers, suppliers, contractors, or competitors. Potential conflicts must be disclosed promptly in writing to management. Examples include:

  1. Holding substantial ownership in any external business that works with or competes with the company.
  2. Serving in a leadership, advisory, or technical role with businesses that compete or work with the company, unless approved by the CEO of Din Raat News 24.
  3. Acting as an intermediary or agent for third parties in transactions involving the company.
  4. Other situations, including family or personal relationships, that could influence decision-making in the company’s interest.

CONFIDENTIALITY:

Associates must not disclose confidential information, plans, or sensitive company data without proper authorization. Misusing, mishandling, or gaining unauthorized access to such information is strictly prohibited and may result in disciplinary action, including termination.
